Tracely ("Tracely," "we," "us," or "our") is a web-based project correspondence and business management tool located at tracely.xyz. By accessing or using Tracely, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.
By creating an account, using the free tier, or purchasing a subscription, you represent that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms in full. If you are using Tracely on behalf of a business, you represent that you have authority to bind that business to these Terms.
Tracely provides tools for organizing project correspondence, tracking emails, managing client relationships, logging time, generating reports, and invoicing. The service is provided "as-is" for organizational and informational purposes.

You may use the free tier without an account. Creating an account requires a valid email address. You are responsible for maintaining the confidentiality of your account and all activity that occurs under it. Notify us immediately at support@tracely.xyz if you suspect unauthorized access. We reserve the right to terminate accounts that violate these Terms.
Free tier: Tracely provides limited functionality at no cost with no account required. Free tier data is stored only in your browser's local storage and is not synced to our servers.
Paid subscriptions: Premium features require a paid monthly subscription. Billing is handled entirely by Stripe, Inc. We do not store, process, or have access to your payment card information. Subscriptions are billed monthly. There are no annual plans. You may cancel at any time and retain access through the end of your current billing period.
Open beta period: During the current open beta, premium features are provided free of charge. When paid billing is introduced, we will provide at least 30 days advance notice and a free trial period before any charge is applied.
Refunds: Because subscriptions are month-to-month, we do not offer prorated refunds for partial months. If you cancel, you will not be charged for the following month. In cases of billing errors, contact us at support@tracely.xyz and we will resolve them promptly.
You agree not to use Tracely to:
Tracely uses Anthropic's Claude AI to parse and summarize email content. AI-generated summaries, action items, and analyses are provided for organizational convenience only. They may contain errors, omissions, or inaccuracies.
Important: Do not rely solely on AI-generated content for legal, financial, medical, or other consequential decisions. Always verify critical information against original source documents. Tracely is not responsible for any decisions made based on AI-generated output.
When you submit email text for parsing, that text is transmitted to Anthropic's API for processing. Anthropic's privacy policy governs that transmission. Only the extracted summary data is stored by Tracely — your raw email text is not retained.
Your use of Tracely is also governed by our Privacy Policy, which is incorporated into these Terms by reference. In brief:
You are solely responsible for maintaining your own backups of important data.
Free tier users: Your data is stored in your browser's localStorage. Clearing your browser data, using a different browser, or using private/incognito mode will permanently delete your projects and emails. We strongly recommend exporting reports regularly.
We make reasonable efforts to maintain the availability and integrity of premium account data, but we do not guarantee uninterrupted service or protection against all forms of data loss. Software updates, migrations, or unforeseen technical failures may result in data loss for which Tracely is not liable.
Tracely and all associated software, design, trademarks, and content are owned by or licensed to us. You are granted a limited, non-exclusive, non-transferable license to use the service for your own business purposes. You may not copy, modify, distribute, or create derivative works from Tracely's code or design without written permission.
You retain ownership of all data you input into Tracely. By using the service, you grant us a limited license to process that data solely for the purpose of providing the service to you.
TRACELY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TRACELY IS NOT A LEGAL SERVICE, FINANCIAL SERVICE, OR PROFESSIONAL ADVISORY SERVICE. NOTHING IN THE APP CONSTITUTES LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITIES, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR $27 USD, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Tracely and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the service, your violation of these Terms, or your violation of any third-party rights.
You may stop using Tracely at any time. We reserve the right to suspend or terminate your account without notice if we determine you have violated these Terms. Upon termination, your right to use the service ceases immediately. Free tier data in your browser is yours to export before clearing. Premium account data will be available for export for 30 days following account termination.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, for paid subscribers, notify you by email at least 14 days before changes take effect. Your continued use of the service after changes take effect constitutes acceptance of the new Terms.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Allegheny County, Pennsylvania, and you consent to personal jurisdiction in those courts.
